Jon Wallace and Ray Keefer are pleased to announce the formation of PSUBS
LLC, a limited liability company organized to further the goals and
charter
of PSUBS.ORG.
Effective January 1, 2007, PSUBS LLC will assume ownership and
responsibility for the PSUBS.ORG website, mailing list, and all future
resources/activities associated with the "group" or "organization". This
transfer of power from individuals to a corporate entity will reduce
exposure to personal liability, provide new avenues of services to
participants, and strengthen our ability to continue providing the
Internet's foremost information repository for personal submersibles.
We want to assure our Internet community of friends that PSUBS LLC will
remain committed to maintaining the same open standard of participation
that
has made PSUBS.ORG a place for so many people around the world to collect
and share information about submersibles and ROV's. Without *YOU*,
PSUBS.ORG is just a domain name.
We anticipate there will be many questions regarding this change and we
are
ready to answer them as best we can. In the meantime, we have put
together
answers for some of the more common questions we expect people will have.
1) What does this mean for PSUBS.ORG?
You should expect PSUBS.ORG to continue providing free and open access to
the information on the website and mailing list, the same as we have done
for the past 10 years.
2) What does this mean for me?
We expect no impact on mailing list participants or website users.
3) Will I have to become a member of PSUBS.ORG now and pay dues?
No. PSUBS.ORG will continue to be a free service open to all.
4) Will I have to pay to access information on the website now?
No. There are no plans to create "member-only" areas on the website or
restrict anyone from accessing information on the website and/or mailing
list.
5) Why did you form a company to take over PSUBS?
Primarily to insulate ourselves from liability concerns. We believe that
our personal finances and assets were at serious risk due to the growth of
content on the website and particularly when dealing with challenging
issues
associated with public meetings and conventions. The formation of the LLC
will help protect us personally from any liability associated with
PSUBS.ORG
or functions that PSUBS LLC hosts for the public.
6) So now that there is an LLC behind PSUBS, liability is no longer an
issue?
PSUBS LLC can be sued just as easily as an individual. While the LLC does
a
good job of insulating individuals who run the company, there is nothing
to
stop someone from suing the company and winning financial awards against
it.
Such an event would likely cause the company to dissolve and with it,
PSUBS.ORG the website. Therefore we still need to be extremely careful
with
issues that expose the company to high levels of liability.
7) Who owns PSUBS LLC?
The company is owned and managed by Jon Wallace and Ray Keefer who will
jointly make all of the future operational and business decisions for the
company.
